Terms of Service

LAST UPDATED 2026-09-23 · BY ORCYX LABS

Contents

The short version: your code and output are yours; the agents you run use your own provider accounts and act with your permissions; review what AI produces; plans renew until you cancel, with a seven-day money-back guarantee on the first charge.

1. Agreement and scope

These terms are an agreement between you and Orcyx Labs (“Orcyx”, “we”, “us”). They govern your use of the Orcyx website at orcyx.dev, the account portal at app.orcyx.dev, the Orcyx desktop app, the hosted features, the Orcyx API and the community integrations - together, the “Services”.

The Privacy Policy explains how we handle personal data, and How credits work sets out the credit and refund rules these terms refer to. You accept these terms when you tick the box at sign-up, or by using the Services. If you are accepting on behalf of an organization, you confirm you are authorized to bind it.

2. Eligibility and accounts

3. The Services

Orcyx is a desktop workspace for running and coordinating AI agents, terminals, editors and browsers on your own machine, with an account and plan that unlock it and optional hosted features that Orcyx runs for you. Orcyx is pre-1.0 software: features are added, changed and removed as the product develops, and some are labelled early or experimental. We will not remove a core feature of a plan you have paid for during the period you paid for without telling you.

We work to keep the Services available but do not promise that they will be uninterrupted or error-free. A hosted feature that is unavailable says so in the app rather than failing silently, and you are never charged credits for a call that did not complete.

4. Your licence to the desktop app

Orcyx is proprietary software. While your account is in good standing, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the desktop app for your own work or your organization’s, within the limits of your plan. The app checks for signed updates and offers them; some updates may be needed to keep using the Services.

You may not copy, modify, redistribute, sell or sublicense the app; reverse engineer, decompile or disassemble it except where the law allows this despite a contractual ban; remove its notices; or get around the plan, licence or policy checks it performs.

5. Your content

Your code, files, prompts, notes, audio and the output you generate are yours. We claim no ownership of them.

You give us permission to process your content only as needed to provide what you asked for: to send a hosted request to the AI provider that performs it and return the result, and to store what you send to the Orcyx API so it can be returned to you. We do not use your content to train AI models, and we do not look at it except to operate the Services, to investigate abuse reported to us, or where the law requires.

You are responsible for having the rights to the content you use with the Services and for complying with the law in how you use it.

6. Agents, local systems and your provider accounts

7. Acceptable use

You agree not to use the Services to:

8. Plans, billing and credits

Credits are not introduced yet: Orcyx does not sell or meter them today, and no plan is charged in them. We may introduce them in future, and will tell you before they apply to your account. When they are introduced, these rules apply. Credits are the unit Orcyx meters its own hosted features in. They have no cash value, cannot be transferred, sold or exchanged, and can be used only on Orcyx hosted features. Monthly plan credits expire when the next month’s are granted; credits bought in packs do not expire while your account is open. The published meter, the order in which balances are spent, and how holds and refunds work are set out on the credits page, which forms part of these terms.

9. AI features and output

AI output is generated by models, not written by Orcyx, and it can be wrong, incomplete, insecure or similar to output given to other people. You are responsible for reviewing it before you rely on it, run it, ship it or publish it. Do not use AI output as the only basis for legal, medical, financial or safety-critical decisions.

Sage, the voice companion, is an AI system; when you speak to it, you are interacting with software, not a person. We tell you when a feature sends your audio or text to a hosted provider.

10. Hosted providers and third-party services

Hosted features, which are not introduced yet, will be performed by AI providers we select. We may change providers or models to keep a feature working, at the same published credit rate unless we tell you otherwise. The Services also link to and integrate with services we do not control - your AI tool vendors, sign-in providers, payment processors, Discord - and your use of those is governed by their terms. We are not responsible for them.

11. Intellectual property and feedback

The Services, including the software, the website, the Orcyx name and logo, and the documentation, belong to Orcyx and its licensors and are protected by law. These terms do not grant you any right to them beyond the licence in section 4.

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

12. Suspension and termination

You can stop using the Services at any time, and ask us to delete your account.

We may suspend or end your access if you materially breach these terms, if your use creates a security or legal risk, if payment fails and is not resolved, or if the law requires it. Where it is reasonable to, we will tell you why and give you a chance to fix the problem first. A suspension blocks access; it does not delete your billing history or credit ledger, and lifting it restores them.

When access ends, your licence to the desktop app ends and paid features stop. Your local files stay on your machine. Sections 5, 11, 13 and 14 continue to apply after these terms end.

13. Disclaimers

To the fullest extent the law allows, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output will be accurate, or that the Services will meet your needs or be free of errors. Some jurisdictions do not allow these exclusions; where that is the case, they apply only as far as permitted.

14. Limitation of liability

To the fullest extent the law allows, Orcyx is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill - including loss caused by actions an agent took on your machine - even if we were told they were possible.

Our total liability for all claims relating to the Services is limited to the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.

15. Changes to these terms

We may update these terms as the Services change. The date at the top of this page shows the latest version. If a change materially affects your rights, we will tell you by email or in the portal before it takes effect; continuing to use the Services after that means you accept the updated terms. If you do not accept them, stop using the Services and cancel your plan.
